      Acquisition of Shares in Gruber ÄDV and Takeover of ACP IT Solutions

November 12,  2007:   CompuGROUP  Holding  AG,  a
      leading European provider of eHealth solutions, reports the  expansion  of
      its  presence  in  the  growing  Austrian  healthcare  field:   With   the
      acquisition of the majority of shares in Gruber ÄDV GmbH  (Enns)  and  the
      takeover of ACP IT Solutions GmbH (both suppliers of  information  systems
      for doctors), CompuGROUP strengthens its position in this  market  segment
      significantly. Thus CompuGROUP is now  represented  in  Austria  via  four
      companies,  together  with  systema  Human  Information  Systems  GmbH,  a
      provider  of  information  systems   for   hospitals,   and   HCS   Health
      Communication Service GmbH.

Meanwhile, ACP IT Solutions GmbH has been renamed medXpert GmbH. With  its
      Profimed and medXpert products, ACP looks back on a success story of  more
      than 20 years during which the company supported doctors  in  governmental
      healthcare. ACP's complete integration with CompuGROUP under  a  new  name
      constitutes an excellent basis for meeting the challenges of the  Austrian
      healthcare  system  with  its  comprehensive   portfolio   of   successful
      networking products and services. Now medXPert  can  offer  its  customers
      their optimal integration in a  continuous  information  workflow  ranging
      from the healthcare system's doctor to the clinic and vice versa.

For more than 30 years, Gruber ÄDV has been  a  reliable  partner  in  the
      field of  medical  services  with  its  premium  products.  The  company's
      management will remain in the capable hands of Wolfgang Gruber, while
Hans-
      Joachim  Gruber  will  continue  to  manage   the   software   development
