Proposed New Board Members for Intentia International AB

(publ) (XSSE:INT B) announced on August 19, 2004 that at the
Extraordinary General Meeting to be held on Monday, September 6,
2004, the number of members of Intentia International's board of
directors is proposed to be increased to a total of nine.
Tennenbaum Capital Partners has waived this condition for its
subscription of shares in the company and shareholders representing
48.4 percent of the total outstanding votes in the company now
propose that the board be comprised of eight members in total. The
intent, however, is to appoint an additional board member who will be
an independent industry expert at a later date. Steven Chang and
Intentia's CEO, Bertrand Sciard, are proposed as candidates for board
positions.
If the proposal is approved, Intentia's board of directors will be
comprised of Romesh Wadhwani, Jan Carlzon, Steven Chang, William
Chisholm, Bob Evans, Tommy H. Karlsson, Morgan Olsson and Bertrand
Sciard.
Background information on the newly proposed candidates for board
positions:
Steven Chang, Principal of Tennenbaum Capital Partners, LLC
Prior to his position with Tennenbaum Capital Partners (TCP), Mr.
Chang was a Principal at Barnard & Co, a private equity group
managing approximately USD 2 billion and focused on growth financings
for business services, information technology, and communications
companies. Before that, Mr. Chang was at Goldman, Sachs & Co. where
he was an analyst in Special Situations, a group investing in
distressed assets, high yield debt, and capital structure arbitrage,
and an investment banker in the Mergers & Acquisitions and Healthcare
groups. Mr. Chang currently serves as a representative for TCP to the
boards of Celerity Group, Inc., Information Resources, Inc., KH, LLC,
and Kinetics Systems, Inc. He is a graduate of Stanford University
where he earned bachelor of science and masters of science degrees in
biological sciences, and bachelor of arts degree with distinction in
quantitative economics.
Bertrand Sciard, Chief Executive Officer, Intentia International
Mr. Sciard is responsible for the overall strategic direction,
growth and management of Intentia. Following his appointment as chief
executive officer in May 2004, Mr. Sciard has implemented an
aggressive operational plan for the company. His goals are to achieve
profitability, enhance customer satisfaction, improve the speed and
quality of the delivery of new products, strengthen market leadership
in enterprise applications and increase growth.
Before joining Intentia, Mr. Sciard served as executive vice
president of GEAC, a business performance management software
company, where he was responsible for all operations within the EMEA
and Asia Pacific regions. An experienced executive in the enterprise
application market, Mr. Sciard has held several senior management
positions including European managing director of JBA Plc and
president and CEO of Presys. Prior to joining Presys, Mr. Sciard held
several senior roles at IBM and holds a law degree.
