MEDIA! AG: NEW APPOINTMENTS TO THE BOARD AND THE SUPERVISORY BOARD (E)

MEDIA! AG is announcing important new developments during the course
of its restructuring. Dr. Arno Haselhorst will take up the position
of Chief Executive of MEDIA! AG, Mr Tim Diepenbrock will take up the
position of Board Member of Finance and the lawyer Mr Walter F.
Kalthoff will be appointed Chairman of the Supervisory Board.
As of 15 September 2002 Dr. Arno Haselhorst (38) has been appointed
to take up the position of Chief Executive Officer of MEDIA! AG,
Munich. Tim Diepenbrock (39) will take up the position of Board
Member of Finance effective as of 01. October 2002.
Furthermore the Supervisory Board has voted for the lawyer Mr Walter
F. Kalthoff to take up the position of Chairman of the Supervisory
Board as well as Dr. Stefan Göckeler as vice-chairman. The previous
Chairman of the Board, Mr Patrick Hoffman, will remain with MEDIA! AG
as Member of the Supervisory Board.
Current members of the board will remain with the company or with
affiliated companies in order to provide continuity for the current
restructuring process. Mr Karl-Heinz Kragler, the current Finance
Board Member and speaker of the board will keep a position in the
board. Mr Andreas Raddatz will leave the board of MEDIA! AG upon his
own request and will concentrate on his duties as Managing Director
of the Kiel/Hamburg based AVT Media! GmbH. AVT MEDIA! GmbH is a 100%
subsiduary of M.K.B GmbH which is one of the new main shareholders of
MEDIA! AG.
In recent months important steps have been initiated and partly taken
in order to restructure MEDIA! AG. These additional personnel changes
in the board will exonerate the being board-member and will enforce
the restructuring process and form the basis for a successful new
strategic direction.
Dr. Haselhorst has gained substantial management experience as well
as a profound knowledge of the media industry. After a commercial
trainee scheme and studies of business and economy Dr. Haselhorst
worked for the well established consulting firm Roland Berger &
Partner GmbH. From 1999 until 2001 he was employed as Member of the
Board for Finance by the formerly Neuer Markt listed RTV Family
Entertainment AG. Since 2001 Dr. Haselhorst has been employed by
Euvia Media AG where he contributed significantly towards the
reformation of the former TV station TM3 to NEUN LIVE, a Call-In and
Travel Home Shopping broadcaster.
Mr Diepenbrock has gained extensive management experience in
industrial engineering, an industry which has shown many similarities
with the business model of MEDIA! AG. After his studies of business
and economy, Mr. Diepenbrock worked for Klöckner & Co AG as of 1990
in the position of Assistant to the CEO which in 1993 lead on to a
position of Managing Director of an affiliated company in Asia. From
1996 until 2001 Mr Diepenbrock maintained a number of management
responsibilities with ThyssenKrupp Industrieservice GmbH in
particular the position of Managing Director Finance for a number of
affiliated companies. As of 1998 until now he has filled the position
of Managing Director Finance of Wicke GmbH & Co. KG.
