HAMBURG, June 8, 2004. d+s online AG (ISIN: DE0005336804,
DE0008164427 and DE000AOA8FU4) has signed a letter of intent
concerning the acquisition of a telemarketing provider located in
North Rhine-Westphalia. Pursuant to the letter of intent, d+s will
acquire 100% of the shares in this company on July 1 of this year.
The takeover candidate will generate 2004 revenues in excess of EUR
2.4 million and achieve an EBIT margin of 10% with 110 employees. The
final agreement is expected to be concluded by the end of July 2004.

In addition to complementing the industry-specific capabilities of
d+s online AG, the new acquisition will add to the resources of d+s
online AG in the area of telecommunication, which is one of d+s
online AG’s core activities. The takeover candidate is currently
building up innovative marketing structures for a client in this area
that goes beyond telemarketing and is in keeping with the thrust of
the business process management strategy pursued by d+s online AG,
which consists of placing more emphasis on offering seamless,
all-inclusive marketing processes. The new company has also developed
industry-specific competencies in the area of mobile marketing that
will prove valuable for the current and future business activities of
d+s online AG.

CRM and telemarketing.
