JoWooD Productions Software AG applied on Wednesday, February 26,
2003 for the listing of 3,077,000 shares at a nominal value of EUR 1
for official trade on the Vienna stock exchange. The shares are from
the capital increase decided on December 18, 2002 and entered into
the commercial register on January 23, 2003. The initial listing of
the shares is scheduled for this week. The application was for
listing on the Prime Market of the Vienna Stock Exchange.

The prospectus is available to the public free of charge from the
headquarters of JoWooD Productions Software AG, 4802 Ebensee,
Bahnhofstrasse 22, and additionally from the business premises of
Capital Bank, GRAWE Gruppe AG, Burgring 16, A 8010 Graz, and
deposited at the Österreichische Kontrollbank AG, Am Hof 4, 1010
Vienna.

The audited and approved (supervisory board) 2002 financial
statements of JoWooD Productions Software AG are included in the
prospectus. The bank discount reflected therein, was posted in the
2002 financial year is for a total of EUR 8,948,000. In addition to
the bank discount, large hidden adjustments were negotiated as can be
partially seen in the 2002 balance sheet. Through extensive
restructuring measures, value adjustments and discounts the Group’s
balance-sheet total was lowered to TEUR 52.440 (2001: TEUR 67.670).
The reported equity capital is a total of TEUR 13.942.

The separate publication of the final results for the 2002 financial
year will take place as scheduled on March 5, 2003. The annual
general meeting is scheduled for March 26, 2003
