With the entry into the Commercial Register, VRmagic, a portfolio 
company of Leonardo Venture GmbH & Co. KGaA has completed its 
restructuring of its business activities. With a view to preparation 
for an IPO in the long term, the shares of VRmagic GmbH have been 
fully brought into VRmagic Holding AG with a valuation of EUR 42 
million. This transaction was preceded by an auditor´s appraisal in 
December 2007. On entry in December 2005, Leonardo Venture invested 
EUR 4.75 million, thereby securing 25% of the shares in VRmagic GmbH.

The corporate structure of a holding corporation takes account of the
broader positioning of VRmagic. Besides its established lines of 
business with the training simulators for eye operations and high-end
camera systems, new operating fields for medical simulators will be 
targeted.
