AEVIS Holding SA / Key word(s): AGM/EGM 14.05.2014 07:00 Release of an ad hoc announcement pursuant to Art. 53 KR --------------------------------------------------------------------------- Proposed distribution to shareholders of CHF 0.55 per share AEVIS Holding SA (AEVIS) will hold its General Meeting of Shareholders for the fiscal year 2013 on Wednesday 4 June 2014 at 14:00 at Clinique Générale in Fribourg. Besides the usual agenda points, the Board of Directors proposes the distribution of CHF 0.55 per share to the shareholders and an authorised capital increase. AEVIS will hold its General Meeting of Shareholders for the fiscal year 2013 on Wednesday 4 June 2014 at 14:00. The Board of Directors proposes to the shareholders the individual re-election for a term of one year until the end of the next Ordinary General Meeting of Mr Christian Wenger, Raymond Loretan, Antoine Hubert, Michel Reybier, Antoine Kohler and Dr Cédric George. The Board of Directors proposes the re-election of Mr Christian Wenger as Chairman, the election of Dr Cédric George and Mr Antoine Kohler as members of the Remuneration Committee and the election of Me Jacques-Daniel Noverraz as independent proxy. The Board of Director also proposes the re-election of Berney & Associés SA Société Fiduciaire as statutory auditor for the fiscal year 2014. The Board of Directors proposes to the shareholders to approve the distribution, on 11 June 2014, of CHF 0.55 per share and hereby confirms its objective to reinforce its long-term distribution policy. Finally, the General Meeting will be called to approve the extension and increase of the authorised capital, with the objective to finance potential acquisitions. This would allow the Board to increase, till 3 June 2016, the share-capital by a nominal value of CHF 35.5 million through the issuing of 7.1 million shares. Ordre du Jour 1. Distribution Le Conseil d'administration propose aux actionnaires de dissoudre partiellement la réserve provenant d'apport en capital (agio) à concurrence de CHF 7'886'914.75 et de distribuer ce montant aux actionnaires à raison de CHF 0.55 par action à la date du 6 juin 2014, payable le 11 juin 2014. 5. Décharge aux membres du Conseil d'administration et de la direction Le Conseil d'administration propose aux actionnaires de donner décharge pour l'exercice 2013 aux membres du Conseil d'administration suivants : Christian Wenger, Raymond Loretan, Antoine Hubert, Michel Reybier, Antoine Kohler et Cédric A. George. Elections statutaires - Conseil d'administration Le Conseil d'administration propose aux actionnaires de réélire individuellement Messieurs Christian Wenger, Raymond Loretan, Antoine Hubert, Michel Reybier, Antoine Kohler et Cédric A. George pour un nouveau mandat d'un an expirant à la fin de la prochaine Assemblée générale ordinaire. 7. Election statutaires - Président du Conseil d'administration Le Conseil d'administration propose aux actionnaires de réélire Monsieur Christian Wenger comme président du Conseil d'administration pour un nouveau mandat d'un an expirant à la fin de la prochaine Assemblée générale ordinaire. 8. Elections statutaires - Comité de Rémunération Le Conseil d'administration propose aux actionnaires d'élire individuellement Messieurs Cédric A. George et Antoine Kohler comme membres du Comité de Rémunération pour un mandat d'un an expirant à la fin de la prochaine Assemblée générale ordinaire. S'il est élu, M. Cédric A. George sera nommé Président du Comité de Rémunération. 9. Election du Représentant indépendant Le Conseil d'administration propose d'élire Me Jacques-Daniel Noverraz (c/o Etude DBC & Notaires - Chemin de Chantavril 3a - CH-1260 Nyon) comme Représentant indépendant pour un mandat d'un an expirant à la fin de la prochaine Assemblée générale ordinaire. 11.Modification de l'article 10 des statuts relatif au capital autorisé Le Conseil d'administration propose aux actionnaires de modifier l'article 10 des statuts relatif au capital autorisé afin d'augmenter le capital autorisé et de prolonger le délai. Le Conseil d'administration serait ainsi autorisé jusqu'au 3 juin 2016 à augmenter le capital- actions d'un montant maximum de CHF 35'500'000, par l'émission d'un maximum de 7'100'000 actions nominatives d'une valeur nominale de CHF 5 chacune, entièrement libérées. Le conseil d'administration est également autorisé d'augmenter le capital-actions en application de la présente disposition durant une offre publique d'acquisition, soit en particulier de la publication d'une offre à la publication de son résultat.
