DISCLOSURE ANNOUNCEMENT AFTER § 15 WpHG

AIG International Real Estate GmbH & Co. KGaA: Share capital  
increase  of  less than 10 percent with exclusion of subscription 
rights

Frankfurt am Main, June 21, 2007 - Today, the general partner 
("persönlich haftende Gesellschafterin") of AIG International Real 
Estate GmbH & Co. KGaA has resolved with consent of the supervisory 
board ("Aufsichtsrat") to increase the company's share capital from 
4,140,580 Euro by up to 83,075 Euro to a total of up to 4,223,655 
Euro. The shareholders' subscription rights were excluded according 
to section 186 para 3 sentence 4 of the German Stock Companies Act 
("Aktiengesetz"). The share capital is increased in return for cash 
contributions and by partly exercising the authorized capital 
according to section 4 para 6 of the Arcticles of Association of AIG 
International Real Estate GmbH & Co. KGaAto of an aggregated amount 
of currently 1,737,014 Euro.

A total of up to 83,075 new, no-par bearer shares will be subscribed 
by selected investors at a price of 45.50 Euro per share. The result 
of this offering will amount to up to  3,779,912.50 Euro.
