Notification of Voting Rights (Stimmrechtsmitteilung) pursuant to sec. 25 para. 1 of the German Securities Trading Act
We were told in accordance with sec. 25 para. 1 of the German
Securities Trading Act (Wertpapierhandelsgesetz - "WpHG") in the name
and on behalf of SE Drive Technik GmbH, 44799 Bochum, Germany, that
on 12 April 2007 SE Drive Technik GmbH fell below the threshold of 25
% in financial instruments entitling SE Drive Technik GmbH to acquire
voting shares in REpower Systems AG, Alsterkrugchaussee 378, 22335
Hamburg, Germany ("REpower"). On that day, SE Drive Technik GmbH
directly held financial instruments entitling SE Drive Technik GmbH
to acquire 2,060,788 voting shares, corresponding to 23.08 % of the
voting rights in REpower. The right to acquire the shares in REpower
may be exercised at any time following the later of (i) the first
anniversary of the end of the additional acceptance period for the
voluntary public takeover offer of Suzlon Windenergie GmbH to the
shareholders of REpower which is currently expected to occur on or
about 10 May 2007 ("Additional Acceptance Period"); or (ii) in case
Martifer SGPS, S.A., Oliveira de Frades, Portugal, and Martifer
Energy Systems SGPS, S.A., Oliveira de Frades, Portugal, notify SE
Drive Technik GmbH within one year after the end of the Additional
Acceptance Period that the public tender for the attribution of
capacity to inject power into the public service electricity system
grit and associated reception points for electricity generated by
wind farms has been awarded to REpower Portugal - Sistemas Eólicos
S.A., the second anniversary of the end of the Additional Acceptance
Period.We were further told in accordance with sec. 25 para. 1 WpHG in the name and on behalf of AE-Rotor Holding BV, 7554NG Hengelo Ov, The Netherlands, that on 12 April 2007 AE-Rotor Holding BV fell below the threshold of 25% in financial instruments entitling to acquire voting shares in REpower. On that day, AE-Rotor Holding indirectly held financial instruments entitling to acquire 2,060,788 shares in REpower, corresponding to 23.08 % of the voting rights in REpower. The right to acquire the shares in REpower may be exercised at any time following the later of (i) the first anniversary of the end of the Additional Acceptance Period; or (ii) in case Martifer SGPS, S.A. and Martifer Energy Systems SGPS, S.A. notify SE Drive Technik GmbH within one year after the end of the Additional Acceptance Period that the public tender for the attribution of capacity to inject power into the public service electricity system grit and associated reception points for electricity generated by wind farms has been awarded to REpower Portugal - Sistemas Eólicos S.A., the second anniversary of the end of the Additional Acceptance Period. The financial instruments were held indirectly through SE Drive Technik GmbH which is controlled by AE-Rotor Holding BV.
We were further told in accordance with sec. 25 para. 1 WpHG in the name and on behalf of Suzlon Wind Energy Limited, c/o Chalfen Services Limited, London EC2A 3AY, United Kingdom, that on 12 April 2007 Suzlon Wind Energy Limited fell below the threshold of 25 % in financial instruments entitling to acquire voting shares in REpower. On that day, Suzlon Wind Energy Limited indirectly held financial instruments entitling to acquire 2,060,788 shares in REpower, corresponding to 23.08 % of the voting rights in REpower. On that day, Suzlon Energy Limited, Mauritius, indirectly held financial instruments entitling to acquire 2,060,788 shares in REpower, corresponding to 23.08 % of the voting rights in REpower. families ("HUF") listed hereinafter (together the "Suzlon Shareholder
Group"), that on 12 April 2007 each member of the Suzlon Shareholder
Group fell below the threshold of 25 % in financial instruments
entitling to acquire voting shares in REpower. On that day, each
member of the Suzlon Shareholder Group indirectly held financial
instruments entitling to acquire 2,060,788 shares in REpower,
corresponding to 23.08 % of the voting rights in REpower. The right
to acquire the shares in REpower may be exercised at any time
following the later of (i) the first anniversary of the end of the
Additional Acceptance Period; or (ii) in case Martifer SGPS, S.A. and
Martifer Energy Systems SGPS, S.A. notify SE Drive Technik GmbH
within one year after the end of the Additional Acceptance Period
that the public tender for the attribution of capacity to inject
power into the public service electricity system grit and associated
reception points for electricity generated by wind farms has been
