By agreement of today´s date, Sanacorp Pharmaholding Aktiengesellschaft (hereinafter "SANACORP") contributed its entire investment in Sanacorp Pharmahandel GmbH, Planegg, to Millennium S.r.l. (in the future - following conversion which have been resolved upon as well as of today - Millennium S.p.A.) domiciled in Bologna, Italy. This has been made possible by the fact that the regional court of Munich I has not awarded the temporary injunction applied by Altiro GmbH, Stuttgart (see our ad hoc statement dated November 5, 2007).
At the same time, CERP Rouen SA, Rouen, France contributed its entire investment in its subsidiary CERP Rouen SAS to the joint venture, in which SANACORP and CERP Rouen SA are holding an interest of 50% each. The pharmaceutical wholesale activities of Sanacorp and CERP Rouen in Germany, France and Belgium will be carried out in the future under the roof of this holding company domiciled in Italy. The resolutions passed at the Annual General Meeting of Sanacorp Pharmaholding Aktiengesellschaft held on June 27, 2007 were thus successfully put into practice.
