Vienna / Kuala Lumpur (euro adhoc) - Semperit AG Holding ("Semperit") (Bloomberg
ticker: SEM:AV, Reuters: SMPV.VI) announces that the Austrian Federal
Competition Authority and the German Federal Cartel Office have approved the
acquisition of the Malaysian Latexx Partners Berhad ("Latexx Partners"). The
acquisition is therefore no longer subject to any conditions precedent and may
be completed. The same applies to the current offer for all outstanding shares
and warrants of Latexx Partners, which is being made via Semperit Investments
Asia Pte Ltd, a wholly-owned subsidiary of Semperit.
Up to and including today, November 9, 2012, Semperit has secured a stake of
70.2% in Latexx Partners based on a diluted basis of 274.7 million shares (post
potential exercise of all warrants). This includes the following items: the
acquisition announced on October 8, 2012 of all shares and warrants of Mr. Low
Bok Tek, the put/call agreements with further investors, the shares acquired in
the open market on October 9, 2012, and the acceptances of the current offer
that have been received up to and including November 9, 2012.
