The Company has received the suits brought by the shareholders Christa Götz, JKK Beteiligungs-GmbH, Caterina Steeg and Templer Beteiligungs GmbH for the avoidance and nullity of resolutions passed at the Company´s Annual General Meeting held on June 27, 2007. The subject matters of the lawsuits are:
· The resolution passed under item 7 of the agenda on spinning off the entire operation of Sanacorp Pharmahandel Aktiengesellschaft (spinoff to form a new company) and
· the resolution passed under item 8 of the agenda on contributing the newly formed Sanacorp Pharmahandel GmbH into Millennium S. p. A.
The lawsuits of JKK Beteiligungs-GmbH, Ms. Caterina Steeg and Templer Beteiligungs GmbH are further directed against the resolution passed under item 5 of the agenda on the change of the company name and the amendment to the corporate objects in connection with the spinoff.
The lawsuits have been brought before the responsible regional court Munich I. The lawsuits have not yet been formally served in court, the Board of Management is sure, however, that this will happen at short notice. The Company will have immediately examined the lawsuits and will take the appropriate steps after completion of such examination and as soon as the suits will have been served.
