Karlsruhe, 14 March 2012. In today's meeting,  the  Supervisory  Board  of  init
innovation in traffic systems AG (ISIN DE 0005759807) conclusively  checked  the
annual financial statements,  the  status  report,  the  consolidated  financial
statements and the group status report for 2011 and  unreservedly  approved  the
results of the audit. The annual financial statements prepared by  the  Managing
Board of init innovation in traffic systems AG are therefore  approved  and  the
consolidated financial statements for 2011 adopted.

According to these statements,  in  the  past  financial  year  the  init  group
generated sales of EUR 88.7m (2010:  EUR  80.9m)  resulting  in  an  annual  net
profit of EUR 15.1m (2010: EUR 10.0m). This results in record-breaking  earnings
per share of EUR 1.51 (2010: EUR 1.00).

The Supervisory Board has consequently endorsed the  Managing  Board's  proposal
to increase the dividend to EUR 0.80 (2010: EUR 0.60). The  Managing  Board  and
the Supervisory Board will jointly  propose  a  corresponding  appropriation  of
profits in  total  amount  of  EUR  19.2m  at  the  Annual  General  Meeting  of
Shareholders to be held on 16 May 2012.

Furthermore, Dr Hans Rat has been appointed to the Supervisory Board as its  new
member. Dr Rat, who for many years was Chairman of  UITP:  Union  Internationale
des Transports Publics, the  international  organisation  for  public  transport
authorities and operators, succeeds Mr Fariborz Khavand, as was decided  at  the
last Annual General Meeting  of  Shareholders.  Mr  Khavand  resigned  from  the
Supervisory Board with effect from 1 March 2012. Mr Khavand had belonged to  the
Supervisory Board since  the  time  of  the  initial  public  offering  of  init
innovation in traffic systems AG in  2001.  The  Supervisory  Board  thanked  Mr
Khavand for his dedication and commitment through these many  years,  which  saw
init become  a  leading  international  supplier  of  telematics,  planning  and
electronic fare collection systems for local public transport.

Further members of the Supervisory Board of init innovation in  traffic  systems
AG in addition to Dr Rat are Professor Günter Girnau  (Chairman)  and  Mr  Hans-
Joachim Rühlig MBA.
