Rottenmann, 18th December 2002 - In today’s extraordinary shareholder
meeting the proposal of the board has been approved unanimously to
increase the capital of the company according to § 153 Abs 3 AktG of
currently EUR 7,637,161 up to EUR 12,637,161 by issuing up to
5,000,000 shares in the name of the holder with the nominal value of
EUR 1 each with a profit entitlement starting 1st January 2002 at an
initial price at issue of minimum EUR 1, excluding subscription
rights of the shareholders. The subscription period will end on 10th
January 2003.
