freenet.de AG and mobilcom AG agree to merge ·Eckhard Spoerr to serve as CEO of the new company
freenet.de AG / Hamburg The Boards of freenet.de AG and mobilcom AG today agreed to merge the two companies. The exchange ratio between freenet.de shares and mobilcom shares is determined as follows: 1.15 shares in the new company will be issued for each one (1) freenet.de share, and one (1) share in the new company will be issued for each one (1) mobilcom share. The new company will be headquartered in Büdelsdorf (German state of Schleswig-Holstein).
The parties agreed that Eckhard Spoerr, CEO of freenet.de AG, will also serve as CEO of mobilcom AG with effect from Sept. 1st, 2005 and further, that he will serve as CEO of the new company before the merger comes into effect.
The merger agreement between freenet.de AG and mobilcom AG will be attested by notary before the end of the day. The freenet.de AG Supervisory Board and the mobilcom AG Supervisory Board approved the conclusion of the merger contract earlier today. The appropriateness of the exchange ratio is still pending clearance by the court-appointed merger auditor. The conclusion of the merger agreement does not affect freenet.de AGs plans to pay a dividend of EUR 0.35 per share for fiscal 2004.
