Company Information

- Extension of product portfolio for data centers to create a
complete process chain ranging from the creation to the distribution
of documents - Strategic investment in a growth market
Berlin, December 22, 2008 - Beta Systems Software AG (BSS, ISIN
DE0005224406) has today announced the acquisition of all shares in
DETEC Decision Technology Software GmbH and DSP DETEC Software
Products GmbH, Rüsselsheim, with effect as of January 1, 2009. The
management and supervisory board of Beta Systems, as well as the
shareholders and management of the DETEC companies, have reached
agreement today concerning the key aspects of the intended
acquisition, and have signed a purchase agreement. Both DETEC
companies will continue to be operated independently, and with an
expanded management base. The two managing shareholders responsible
for technology and sales at DETEC have pledged that they will
continue to provide their cooperation for a transition period until
the successful integration. In addition, Harald Podzuweit, General
Manager of the Data Center Infrastructure (DCI) and Identity
Management (IdM) business lines at Beta Systems, will assume
responsibility for management. DETEC´s portfolio comprises products
to generate optically high-quality and sophisticated documents in the
output management area through the formatting of output data. The
intention is that the products, and the personnel involved with their
development, sales and service, will continue to be managed as an
independent line and unit, and be allocated to the DCI/IdM division
in both product and financial terms. Beta Systems is consequently
underscoring its long-term commitment to Rüsselsheim as a location.
Confidentiality has been agreed with respect to the further details
of the purchase agreement. The acquisition is being funded from both
debt and equity.
End of the unscheduled announcement
Issuer´s remarks and explanatory notes to this unscheduled
announcement: "We are gaining over 400 customers in the
German-speaking region, with what are for us largely new contacts in
various corporate divisions," commented Kamyar Niroumand, CEO of Beta
Systems Software AG, before going on to add: "This acquisition is an
important strategic building block for us in our infrastructure
software portfolio, while also representing a good investment in an
established product, and a solid, profitable software company. We
anticipate that it will make a positive contribution to revenue and
earnings from as early as the 2009 financial year."
With the combination of the products LaserSoft/DoXite and Beta 93,
Beta Systems´ breadth of expertise will expand from a distribution-
and print-centered solution to a complete process chain that ranges
from the preparation to the distribution of documents. A complete
range of solutions is targeted at both specialist departments within
companies and specialists within data centers. Beta Systems will
consequently offer its customers in both the decentralized open
systems and SAP environments a portfolio that in future covers all
functional building blocks within an integrated output product
family, from formatters all the way through to printer management.
The core DETEC product, Lasersoft/DoXite, formats graphical documents
from data, texts, and layouts. The product serves as a type of
preliminary step to the Beta Systems products Beta 93 and Beta UX,
which are used to distribute completed documents within data centers.
Lasersoft/DoXite produces many types of documents for various output
media, and in a company´s individual layout. It processes Unicode,
and can be deployed on a global scale. Source data from various
applications are automatically transformed into structured documents,
or into other required data formats such as XML, PDF, or HTML for
other types of communication (B2B or B2C). Harald Podzuweit, General
Manager of the DCI and IdM business lines and future DETEC Managing
Director went on to add: "Our solutions are allowing us to move even
closer to companies´ specialist departments. We are offering general
solutions that can be integrated excellently into business processes,
particularly for the decentralized market, which is continuing to
grow. Our universal approach will allow us to gain enthusiastic new
customers, particularly also in the UNIX segment."
