Vienna, 21 December 2012: the Telekom Austria Group (VSE: TKA, OTC US: TKAGY)
informs that the Austrian Federal Competition Authority ("FCA") and the Federal
Cartel Attorney have publicly announced today that they will not file an appeal
against the decision of the Austrian Cartel Court to approve the acquisition of
YESSS! Telekommunikation GmbH ("YESSS!") by Telekom Austria AG. Further, Telekom
Austria Group has been informed by the Cartel Court that both, the FCA and the
Federal Cartel Attorney, have submitted a formal waiver to file an appeal.
On 3 February 2012, Telekom Austria Group announced that it has agreed to
acquire frequencies, base station sites, the mobile phone provider YESSS! as
well as certain intellectual property rights currently owned by Orange Austria
for a total amount of up to EUR 390.0 million.
On 27 November 2012, the Austrian Cartel Court approved the proposed acquisition
of YESSS! by Telekom Austria Group without conditions. The FCA and the Federal
Cartel Attorney had the possibility to appeal against the decision of the Cartel
Court within four weeks after the decision was served, ie until 27 December
2012. Since the approval becomes legally binding, a major condition for the
closing of the transaction is fulfilled.
