S IMMO AG: Exchange offer successfully closed
On 11 March 2015, stock exchange listed S IMMO AG (Bloomberg: SPI:AV, Reuters:
SIAG.VI; ISIN: AT0000652250, AT0000795737, AT0000630694, AT0000A19SB5,
AT0000A177D2) published a voluntary public exchange offer with cash-alternative
to the holders of S IMMO INVEST participating certificates, ISIN AT0000795737
and ISIN AT0000630694 for the purchase of S IMMO participating certificates by
means of an alternative exchange and cash offer. The acceptance period ended on
31 March 2015.
The exchange offer with cash-alternative has been accepted in the acceptance
period for 239,095 S IMMO participating certificates with ISIN AT0000795737 and
for 236,674 S IMMO participating certificates with ISIN AT0000630694, in total
therefore for 475.769 S IMMO participating certificates. This represents 42.08%
of the total S IMMO participating certificate capital (ISIN: AT0000795737 /
AT0000630694). From the acceptance declarations, a part of 84.35% is
attributable to the exchange offer and a part of 15.65% to the cash-alternative.
Friedrich Wachernig, Member of S IMMO AG's Management Board, comments: ,,We are
delighted that so many of the owners of our participating certificates accepted
our offer. This is another important step to simplify S IMMO's capital
structure."
This announcement does not constitute an offer to purchase securities of S IMMO
AG and constitutes no obligation for S IMMO AG to accept offers to repurchase
securities of S IMMO AG and/or offers to purchase the 3.25% S IMMO bond 2015-
2025. The exchange offer for the 3.25% S IMMO bond 2015-2025 is already closed.
