September 25, 2010 - AI Airports International Limited
("AI")announces today that it has reached an agreement for the
settlement of certain disputes with Meinl Bank AG, and its
subsidiaries and affiliates ("Meinl Bank").Pursuant to this agreement, Meinl Bank will withdraw all claims against AI and pay EUR 4.5 million. AI will withdraw all claims against Meinl Bank. The agreement, however, does not affect the claims filed by the Parties with the International Arbitration Court at the Austrian Federal Economic Chamber in Vienna (the "Arbitration Proceedings"), relating to the Placement and Market-Maker Agreement. In addition, AI will transfer to Meinl Bank its interest in SO.GE.A.P. Aeroporto di Parma Società per la Gestione S.p.A; and Meinl Bank will assume all of AI´s rights and obligations in connection with the shareholding in SO.GE.A.P. In reaching this settlement, neither party admits any liability to the other.
This agreement is contingent on the approval of AI´s Shareholders and
Austrian depository certificate holders ("ADC Holders"). AI intends
to convene an extraordinary general meeting ("EGM") of its
shareholders and ADC Holders on or about 20th October to ratify this
settlement.Hearings in the Arbitration Proceedings are scheduled to commence on 29th November, 2010. Further information will be provided at the EGM.
