Voting and election results of the ordinary Annual General Meeting of
Shareholders for fiscal year 2013 of LifeWatch AG
- 72 shareholders attended today's Annual General Meeting. In total,
9'438'153 votes or 70.74% of the share capital were represented.
- Approval of Annual Report 2013 and of retained earnings 2013.
- Discharge for fiscal year 2013 was granted to Patrick Schildknecht and
Thomas Rühle and to CFO Kobi Efraim. Discharge was not granted to all
other former members of the Board of Directors.
- Elections to the Board of Directors until next ordinary Annual General
Meeting
- Elected: Patrick Schildknecht, Thomas Rühle, Antoine Hubert
- Chairman of the Board of Directors: Patrick Schildknecht
- Elected as members of the Compensation Committee: Thomas Rühle, Antoine
Hubert
- The Annual General Meeting did not approve the proposed amendments to
the Articles of Incorporation (Registered Office, Conditional Capital).
- The Annual General Meeting approved the proposed total compensation of
the Board of Directors and the Executive Board.
- Election of the independent proxy: Yves Endrass, Zurich
- Election of the statutory auditors: PricewaterhouseCoopers, Zurich
