Expansion through dating agency acquisition
Munich, July 04, 2007. TOMORROW FOCUS AG is taking over 63% in the Hamburg-based dating agency ElitePartner. ElitePartner operates one of the largest dating agencies in Germany, attracting 1,000 new users a day. TOMORROW FOCUS AG is incorporating the Hamburg-based company into its portfolio and plans to turn it into a highly successful business.
ElitePartner was founded in 2004 and runs a fast-growing dating agency business. At the time of takeover, the company had approximately 500,000 registered users with an average age of forty-two. 67% of its members are academics. From the 1,000 users joining every day, 45% are male and 55% female. The business finances itself through users´ monthly membership fees. ElitePartner is expecting a turnover of over EUR 10 million for the financial year 2007 and a positive EBITDA. In 2006 turnover was over EUR 4 million. Elitepartner has 47 employees and was awarded first place among 34 online dating agencies tested last year.
TOMORROW FOCUS AG has paid a first tranche of EUR 8.4 million for 58% of the shares. At the same time, a capital increase of EUR 1 million is being organized, where TOMORROW FOCUS receives a further 5% of the shares. In addition, three part payments were agreed, independent from sales and earnings development, which could lead to further payments in 2008, 2009 and 2010 if corresponding targets are achieved. If the company develops as planned, part payments will amount to EUR 6 million. ElitePartner´s founder and its shareholder Burda Digital Ventures GmbH, Munich, will retain a 20% holding and 17% of the invested shares. Option rights were agreed for these shares. The management team lead by Arne Kahlke and Sören Kress remain bound to the company in their roles as executive directors.
TOMORROW FOCUS AG has already transformed its previous 2006 travel industry acquisition HolidayCheck into a highly successful and fast growing business. With Elitepartner, TOMORROW FOCUS AG has gained another important stake in a growing sector.
