After the successful finalization of the major strategic alliance
with the United Internet Group, WEB.DE AG has undertaken further
steps to focus on its goal to becoming a world leading company for
personal digital communication.

Following the decisions of the annual shareholder meeting, the
company has changed its name to ComBOTS AG. Starting immediately, the
company will operate only under this new name. The stock listing of
the company will be changed to ComBOTS AG in parallel to the switch
to registered shares, starting in December.

The alliance with United Internet secured large financial resources
for the company’s future growth. Post all transaction effects ComBOTS
AG will hold over EUR 390 m. in cash and cash equivalents. This
amount includes a strategic equity position of about 10% in United
Internet AG, with a present value around EUR150 m.

The alliance, which also established United Internet as the market
leading No. 1 portal player in Germany, wins United Internet as a
prospective partner for an instant and widespread marketing of the
future products of ComBOTS AG.

As part of the Alliance, Matthias Greve, co-founder and board member
in charge of the company’s portal business for the past years moves
to the board of United Internet 1&1 Internet AG where he will head
United Internets combined portal business. The actual relocation of
the portal business, including employees and IT, from the company’s
premises in Karlsruhe to 1&1 offices and data centres is underway and
expected to be finalized in early 2006, concluding the execution of
the transaction.

In line with the alliance and the strategic focus of the company,
Michael Greve, co-founder and board member in charge of the company’s
personal digital communication business for the past years has been
named new Chairman of the Executive Board.
