Capital increase concluded at InfoGenie - Non-cash contribution by ebs Global GmbH - 6.5 million new shares issued (E)

Berlin, March 27, 2003 - InfoGenie Europe AG (SIN 747 206), listed in the Prime Standard, has completed its capital increase by 6.5 million euros against a non-cash contribution. This capital measure approved at the extraordinary general meeting was entered in the Commercial Register. Accordingly, major stockholder EBS AG, Hallbergmoos, is set to integrate its subsidiary ebs Global GmbH into InfoGenie Europe AG, subscribing to 6.5 million no-par-value bearer shares in return. The expert opinion on the value of this non-cash contribution is available for inspection at the headquarters of InfoGenie Europe AG. The company's capital stock has thus been increased from 1,808,947 euros to 8,308,947 euros. EBS AG's share of InfoGenie is set to rise to approx. 91 per cent. A squeeze-out is not planned. The new shares are to be admitted to trading by the end of this year.
The capital increase was the third and final step in a number of streamlining measures. In August 2002, at a general meeting held by the company a resolution was passed to cut its capital stock in a ratio of 6:1, followed by a capital increase by issuing 750,000 new shares; this took place in November.
ebs Global GmbH is a technology enterprise that makes software platforms available for telephone-based payment systems. Among its customers are providers of entertainment content and resellers. The company holds 100% of the shares in the Spanish company Crosskirk S.L., which offers its services using the dial-up platforms of ebs Global in 30 countries. For 2002, ebs Global GmbH anticipates pre-tax earnings of 4.6 million euros.
