Company Information

11.08.2011

Dr. Hönle AG acquires 51 % of the shares in Mitronic GmbH. In so doing, the
company is further expanding its market position in the sunlight simulation
segment and is tapping a new field of business with the acquired lighting
technology division.

Mitronic GmbH, with head office in Wolfratshausen, has been specialising in
industrial lighting technology for over 30 years. With about 30 employees,
Mitronic GmbH generates annual sales revenue of some EUR 4 million. The Mitronic
product spectrum includes sunlight simulation systems and lighting systems for
crash tests. Moreover, the company develops and markets day-light PAR lamps and
electronic power supplies for exhibition stand construction, among other things.
The automotive industry is Mitronic´s largest sales market.

Up to the present, Dr. Hönle AG´s customers for sunlight simulation systems were
primarily companies from the photovoltaic industry. The acquisition of Mitronic
GmbH provides Hönle with a new group of customers in the automotive industry
segment. The direct access to this market means further growth potential for Dr.
Hönle AG.
Its international orientation also offers the Hönle Group ideal conditions for
the sale of day-light PAR lamps and electronic power supplies of Mitronic GmbH.
The broad range of Mitronic electronic ballasts is an optimum supplement to the
Hönle product spectrum and enables a further reduction in manufacturing costs.

For calendar year 2012, Mitronic GmbH plans sales of between EUR 4,5 to EUR 5
million and an operating result (EBIT) of between TEUR 300 to TEUR 500.

Signing the purchase agreement provides Dr. Hönle AG with a right to acquire the
residual 49 % stake in Mitronic GmbH. The contracting parties have agreed to
maintain silence regarding the amount of the purchase price. Mitronic GmbH will
be included in the consolidated group as at 1 July 2011.

Hönle will publish the 9-month report for 2010/2011 on 25 August 2011 as
planned. The report will also include the budgeted figures respecting the Hönle
Group 's sales and earnings development for the current financial year, which
include the effects from the Mitronic GmbH acquisition.
