PRIMACOM TO TRADE ON THE "OVER THE COUNTER BULLETIN BOARD" IN THE UNITED STATES AFTER DELISTING FROM THE NASDAQ NATIONAL MARKET ON JULY 18
MAINZ, July 16, 2002 - PrimaCom AG (Nasdaq "PCAG" / Neuer Markt
Frankfurt "PRC") confirms that its ordinary shares, which currently
trade on the Nasdaq National Market in the form of American
Depositary Receipts ("ADRs"), will trade on the Over The Counter
Bulletin Board ("OTC BB") from the opening of business on July 18,
2002. PrimaCom's ticker symbol on the OTC BB is anticipated to change
to "PCAGF".PrimaCom received a Nasdaq Staff Determination on July 10, 2002, which indicated that PrimaCom does not comply with the minimum bid price requirements for continued listing set forth in Marketplace Rule 4450(a)(5) and that PrimaCom's ADRs are, therefore, subject to delisting from The Nasdaq National Market at the opening of business on July 18, 2002.
In Germany, PrimaCom's shares continue to be listed on the Neuer Markt in Frankfurt under the symbol "PRC" and ISIN "DE0006259104".

MAINZ 16. Juli 2002 - PrimaCom AG (Neuer Markt Frankfurt, WKN 625910
/ Nasdaq "PCAG") bestätigt, dass seine Aktien, die zur Zeit an der
Nasdaq National Market in Form von American Depositary Receipts
("ADRs") notiert sind, ab Handelsbeginn am 18. Juli 2002 am Over The
Counter Bulletin Board ("OTC BB") gehandelt werden. Das Ticker Symbol
von PrimaCom wird voraussichtlich in "PCAGF" geändert.Die Nasdaq übermittelte PrimaCom am 10. Juli 2002 eine formelle Benachrichtigung darüber, dass PrimaCom die für die Nasdaq Notierung geltenden Regeln über den Mindestpreis gemäß Bestimmung 4450(a)(5) des Regelwerks nicht mehr erfüllte und dass folglich die Zulassung der PrimaCom-ADRs am The Nasdaq National Market ab Handelsbeginn am 18. Juli 2002 endet.
In Deutschland werden die Aktien der PrimaCom weiterhin am Neuen Markt der Frankfurter Wertpapierbörse unter dem Symbol PRC oder ISIN DE0006259104 gehandelt.
