Berlin, 22 May 2006 - In accordance with a resolution passed by the
General Meeting of Shareholders of Beta Systems Software AG (BSS,
ISIN DE0005224406) on 22 May 2006, the members of the Supervisory
Board Mr. William P. Schmidt and Mr. Thomas Engelhardt were dismissed
prior to the end of their tenure.
The company's shareholders elected Mr. Sebastian Leser, Karlsruhe,
CEO of Delta Beteiligungen AG; Mr. Jürgen Dickemann, Heidelberg, CEO
of Deutsche Balaton AG; Dr. Arun Nagwaney, London, Director of AF
Capital Partners Ltd., London, and Director of Plastics Capital Ltd.,
London; as well as Mr. Volker Wöhrle, Rheinstetten, International
Sales Director of Velux Deutschland GmbH as members of the
Supervisory Board of Beta Systems Software AG.
At present, Mr. Sebastian Leser is not a member of other supervisory
boards established pursuant to statutory provisions. Mr. Jürgen
Dickemann is a member of the supervisory boards of CornerstoneCapital
AG, Frankfurt; ABC Beteiligungen Aktiengesellschaft, Heidelberg;
Stratec Grundbesitz AG i.Gr., Mannheim. Dr. Arun Nagwaney is a member
of the board of directors of Bell Plastics Ltd., Poole; Bell Holdings
Ltd. Poole; Trimplex Ltd.; Belvedere; Safety Tread Ltd., Belvedere
and BNL (UK) Ltd., Knasborough (all United Kingdom). At present, Mr.
Wöhrle is not a member of other supervisory boards established
pursuant to statutory provisions.
At the constitutive meeting of the Supervisory Board, which took part
subsequent to the General Meeting of Shareholders, the Supervisory
Board elected Mr. Sebastian Leser as Chairman and Dr. Arun Nagwaney
as Deputy Chairman.
In addition, the Supervisory Board passed resolutions on the
adjustment of share capital, the precluding of shareholders' right to
securitization of ownership interests as well as a change to the
articles of association for the purpose of specifying the object of
the business in greater detail.

New members of the Supervisory Board
. Mr. Sebastian Leser holds the degree of Diplom-Kaufmann and MBA -
Diplomé de    l'ESSEC. Prior to his appointment to the management
board of Delta    Beteiligungen, he was employed at one of the
world's leading management    consultancies, advising domestic and
foreign companies on strategic and    operational issues. He also has
extensive experience within the financial and    industrial field,
having worked for a number of highly respected companies    operating
in this area.  . Dr. Arun Nagwaney holds a B.A. Hons. and M.A. in
Mechanical Engineering;    having successfully completed his PhD
studies in Engineering, he embarked on    an illustrious career
within the field of international consulting and    private equity,
advising and managing various companies, predominantly in the
high-tech and industrial sector.  . Mr. Volker Wöhrle holds the
degree of Diplom-Kaufmann and has in-depth    knowledge of the
marketing and sales, having worked at senior management    level
within the software and consumer goods industry.
Replacement members
In  addition,  the  General  Meeting  of  Shareholders  elected  the
following replacement members to the Supervisory Board:  . Dr.
Carsten Bräutigam, Stockholm, is the Technical Director of
Professional    Services at the Trema (Europe) AB software group,
based in Stockholm. At    present, Dr. Bräutigam is not a member of
other supervisory boards    established pursuant to statutory
provisions. Dr. Bräutigam holds the degree    of Diplom-Informatiker
and has a PhD in Computer Science; he has held a    number of senior
positions, including Technical Director EMEA, Director    Software
Engineering, etc. within the technical and business divisions of a
global financial software enterprise.
. Prof. August Wegmann, Kandel, is the CEO of adisoft AG, a software
enterprise    based in Ettlingen. At present, Prof. Wegmann is not a
member of other    supervisory boards established pursuant to
statutory provisions. Prof.    Wegmann holds the degree of
Diplom-Informatiker, the main emphasis of his    academic and
research work being on commercial computer science. In 1981,    Prof.
Wegmann established his own software enterprise, which he continues
to    manage as a director; he also has many years of senior-level
experience in    software engineering and development.
